PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS WEBSITE. This is a legally binding agreement between you and SAYU Limited (owners of buzzdub.com and the buzzdub software. These Terms of Use govern use of the websites operated by or on behalf of SAYU Limited. ("Sayu Limited" or "we" or "us") and on which these Terms of Use appear, including those at all SAYU Limited URLs ("Websites") and the buzzdub.com services provided on or through the Websites and/or accessible through various desktop and mobile web browsers, locally installed mobile web applications, third party platforms including social networking sites ("Third Party Platforms"), and various API services and other services that we may offer from time to time, including without limitation social, online and/or other applications (including mobile applications), community forums, and blogs (collectively, the "Services"). Your right to use the Websites and/or Services is subject to your compliance with all of the terms and conditions set forth herein.

Your access to and use of the Websites and Services are governed by these Terms of Use ("Terms of Use") and SAYU/Buzzdub Privacy Policy located at http://www.buzzdub.com/privacy-policy ("Privacy Policy") which is incorporated by reference in its entirety herein (both the Terms of Use and Privacy Policy shall collectively be referred to herein as the "Terms" unless specifically stated otherwise). By accessing and/or using the Websites and/or Services you agree to abide by the Terms, including all rules, terms, conditions, restrictions and notices therein. If you do not wish to be bound by the Terms, you may not access or use the Websites or the Services.

buzzdub.com reserves the right to, and will not be liable to any user or third party, for doing the following:

  • changing the Terms at any time;
  • changing the Websites or Services, including terminating, eliminating, supplementing, modifying, adding to or discontinuing any content, functionality, promotion, data on or feature of the Websites or Services or the hours that the Websites or Services are available; or
  • changing any fees or charges in connection with the use of the Websites or the Services.

  1. PROVISION OF BUZZDUB SOFTWARE
    1. The Software has been developed to assist in content curation.
    2. Sayu reserves the right to revise, with 1 month prior notice to the Client, this Agreement and Charges any time.
  2. USE OF THE SOFTWARE
    1. The Client may use the Software for lawful purposes only. Any breach of this clause by the Client shall be deemed to be a material breach of this Agreement.
    2. In using the Software the Client will not infringe the rights of any other person or company whether in statute or in common law. Sayu will not be liable or responsible for content curated by the client including copyright of images.
    3. The Client agrees to indemnify and keep Sayu indemnified from any claim brought by a third party resulting from the Client's use of the Software including but not limited to infringement of any intellectual property right of any kind, legislation or regulation or any breach by the Client of any of its obligations under these Conditions.
    4. The Client shall not attempt to circumvent system security or access the software or complied code. Any such attempt will be deemed a material breach. All intellectual property rights in respect of the software and/or code are and shall remain the property of Sayu or its licensors. The Client shall have a license to use the same for the term of this Agreement.
  3. CHARGES AND BILLING
    1. Payment is strictly by Credit/Debit Card. By signing this agreement you are authorising us to take payment, upon issue of invoices, by one of the aforementioned methods.
    2. Your first payment will be taken/charged to your card on the first day after the expiry of your trial period and monthly thereafter.
    3. The Client will be solely responsible for the maintenance and updating of payment information. If we are unable to take payment the Agreement shall be deemed to be terminated by the Client.
  4. TERM AND TERMINATION
    1. The software is offered on a free of charge non-obligation 1 month trial period.
    2. The term of this Agreement is for a Trial Period of [1 Month]. After this period continuation of this Agreement is assumed unless your subscription has been cancelled within the trial period.
    3. Either party may terminate this Agreement at any time by giving [1 Month] prior notice.
    4. Sayu may (without prejudice to any other right or remedy it may have) suspend the service temporarily without notice (although the Client remains liable to pay all charges during such suspension), or terminate this Agreement by immediate notice if the Client:
      • (a) provides Sayu with any false, inaccurate or misleading information for the purpose of obtaining the Software; or
      • (b) is suspected in Sayu's reasonable opinion of involvement with fraud or attempted fraud or any other criminal offence in connection with the use of the Software
      • (c) or anyone else under the Client's control, with or without the Client's knowledge or approval, uses the server capacity of the Site or the Software made available to it in any way which, in Sayu's opinion, is, or is likely to be, detrimental to the provision of use to the Client or any other Client and fails to take corrective action within a reasonable period of receiving notice.
  5. SECURITY
    1. The Client is responsible for the security and proper use of all user IDs, passwords, or other security devices used in connection with the Service (including changing passwords on a regular basis and password strength) and must take all necessary steps to ensure that they are kept confidential, secure, used properly and not disclosed to unauthorised people.
    2. The Client must immediately inform Sayu if there is any reason to believe that a user ID, password, has been or is likely to be compromised or used in an unauthorised way.
    3. Sayu reserves the right to suspend access to the Service if at any time Sayu considers that there is or is likely to be a breach of security.
  6. TECHNICAL SUPPORT
    1. Our technical support department can be contacted by sending an email to support@buzzdub.co.uk. This email is monitored between the hours of 9:00 a.m. to 5:00 p.m. Monday to Friday (U.K time), excluding Public Holidays.
    2. Sayu and its agents will perform routine system administration of the Service (including without limitation server, network and security monitoring, file system integrity checks, disk space checks and monitoring for unattended logins).
    3. The Service is scheduled to be available 24 hours per day, 7 days a week but Sayu accepts no liability for failure to maintain this level of availability. Sayu will use reasonable efforts to provide as much notice as possible of any planned maintenance activity but does not guarantee it will always be able to do so or accept any liability for failure to do so. Sayu reserves the right to conduct routine maintenance of the Service (including if necessary the right to render the Service unavailable) without notice between the hours of midnight and 4:00 a.m. (UK time). Emergency maintenance, updates and any other procedures will be scheduled on a case-by-case basis.
    4. In the event of unforeseen disruptions to the Service, Sayu will use reasonable efforts to restore Service within 24 hours but does not guarantee it will be able to do so or accept any liability for failure to do so.
    5. Sayu backs up all databases on a nightly basis and will use reasonable efforts to restore any data lost or corrupted due to server failure within 24 hours of notice to Sayu of the occurrence of the fault, but Sayu does not guarantee the restoration of data or accept any liability for the failure to restore lost or corrupted data.
  7. LIMITATION OF LIABILITY
    1. In no event will Sayu be liable to the Client for any indirect, incidental or consequential loss or damages arising under this Agreement.
  8. MATTERS BEYOND EITHER PARTIES' REASONABLE CONTROL
    1. If either party is unable to perform any obligation under this Agreement because of a matter beyond that party's reasonable control, that party will have no liability for their failure. If any of these events continue for more than 2 weeks either party may serve notice on the other terminating this Agreement.
  9. ASSIGNMENT
    1. The Client will not assign, resell, sublease or in any other way transfer the software (or any element thereof), or any of its rights or obligations under the terms of this Agreement without the prior written consent of Sayu. Contravention of this restriction in any way, whether successful or not will entitle Sayu to terminate the Subscription and/or the Agreement immediately. Sayu may assign or transfer its rights or obligations under this Agreement by written notice to the Client.
  10. THIRD PARTIES
    1. No person or undertaking that is not a party to this Agreement shall have any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of the terms of this Agreement.
  11. NO PARTNERSHIP
    1. Nothing in this Agreement shall be construed as creating a partnership or joint venture of any kind between the parties or as constituting either party as the agent of the other party for any purpose whatsoever. No party shall have the authority to bind the other party or to Contracts in the name of, or create a liability against, the other party in any way or for any purpose.
  12. DATA PROTECTION
    1. Sayu are committed to protecting your privacy. We are registered with the Data Protection Agency (Reg No. Z9320165) and we adhere to the policies and regulations set out under the Data Protection Act.
  13. LAW
    1. This Agreement is governed by and shall be construed in accordance with the laws of England and the parties submit to the exclusive jurisdiction of the English courts.
